Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the website, toolkits, and advisory services operated by InkedState (Company Registration No. 2026/496204/07), a company registered in the Republic of South Africa with its principal place of business in Johannesburg ("InkedState", "we", "us"). By accessing the site, downloading a toolkit, or purchasing a product, you agree to these Terms.

If you are acting on behalf of an organisation, you confirm you have authority to bind that organisation. If purchasing as an individual, you confirm you are of legal age in your jurisdiction.

InkedState provides Business Readiness and transition advisory services together with a library of digital toolkits (each a "Product"). Digital toolkits are delivered instantly to the buyer's email address as downloadable files following successful payment. Service descriptions, deliverables and prices are set out on the relevant product page. All prices are listed in US Dollars (USD) unless stated otherwise.

InkedState retains all intellectual property rights in the site, the Products and our methodology. On payment in full we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use the purchased Product within a single organisation for internal business purposes.

You may not: resell, redistribute, sublicense or publicly publish the Product; reverse engineer or attempt to derive source materials; remove proprietary notices; or use the Product to build a competing product.

You must not misuse the site or Products. This includes no unlawful use, no fraud or spam, no infringement of intellectual property rights of others, and no interference with the security of the site (including malware, probing, scraping or unauthorised access).

You are responsible for the confidentiality of any credentials you use and for all activity under your account. You must provide accurate information at checkout — in particular a valid corporate email address — and keep it up to date so that we can deliver your purchase.

Payments on this site are processed by our payment provider, Paystack. By completing a purchase you also agree to Paystack's terms of service as displayed at checkout. Card and bank details are collected and processed by Paystack and are not stored by InkedState.

Prices are displayed in US Dollars (USD). Any applicable taxes will be calculated and disclosed at checkout. Where your card is denominated in another currency, your card issuer will determine the conversion rate applied.

Digital toolkits are delivered to the email address provided at checkout, typically within minutes of successful payment. If you do not receive your delivery within 24 hours, email info@inkedstate.com with your payment reference and we will assist promptly.

Refunds are handled in accordance with our Refund Policy.

We aim to keep the site and digital delivery available and reliable but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose. Products are provided as professional instruments to support your decisions — they are not a substitute for your own judgement, and no specific business outcome is warranted.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or any Product is limited to the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, special, incidental or punitive damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

You agree to indemnify InkedState against claims arising from your unlawful use of the site or Products, your breach of these Terms, or content you submit to us.

We may suspend or terminate your access where there is material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, the licence in section 4 ends and you must stop using the affected Product.

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date. Continued use of the site after changes constitutes acceptance.

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Local Division, Johannesburg, save where mandatory consumer law in your country of residence provides otherwise.
